Background Information
Hakijamii has a nationwide mandate across Kenya’s 47 counties and currently implements active programs in seven: Kisumu, Nairobi, Mombasa, Isiolo, Garissa, Nakuru, and Narok. The organization’s programming is structured around Governance and Public Finance Management (PFM) to strengthen citizen and CSO engagement in oversight and accountability; Human rights-based policy engagement for the realization of ESC Rights; Community organizing and awareness creation to build civic agency and advocacy capacity and Public Interest Litigation to advance legal frameworks and jurisprudence in defense of ESCRs.
To advance its mission and adapt to evolving governance and stakeholder expectations, Hakijamii recognizes the importance of robust corporate governance practices.
Strengthening internal governance is critical to ensuring organizational accountability, transparency, sustainability, and improved performance. This consultancy seeks to
enhance the governance knowledge and skills of Hakijamii’s board of directors’ team.
Purpose and Objective of the Assignment
The primary objective of the one-day training is to equip Hakijamii’s Board Members with practical knowledge and tools to enhance corporate governance practices that support ethical leadership, strategic oversight, and institutional growth.
Specific Objectives
• Enhance understanding on corporate governance principles, frameworks, and global standards.
• Clarify the distinct roles and responsibilities of board members, individual directors, management and committees.
• Equip board members with tools to provide strategic direction and oversight.
• Explore the intersection of ethics, accountability, and risk management in effective governance.
• Promote effective board dynamics and decision making including addressing issues such as independence, conflict resolution, and board evaluation practices.
Expected Outcomes
By the end of the training, Board Members are expected to:
1. Demonstrate a solid understanding of corporate governance concepts, frameworks and best practices.
2. Clearly differentiate between governance and operational roles.
3. Contribute effectively to board deliberations and strategic decisions.
4. Evaluate and improve the performance of the board and its committees.
5. Assess governance gaps and propose actionable improvement strategies.
Scope of work
1. Design and deliver comprehensive training content, including but not limited to; Introduction to Corporate Governance, Principles and Pillars of Good
Governance, Roles of the Board, Management, and Shareholders, Ethical Leadership and Integrity in Governance, Accountability and Transparency Mechanisms, Risk Management and Internal Controls and Board Effectiveness and Performance Evaluation.
2. Facilitate a one-day in-person training session for the Board Members.
3. Provide training materials, reference tools, and templates for internal use and future learning.
Duration and timeframe
This is a one (1) day training for 8 participants at a venue in Nairobi to be communicated.
Qualifications
• A degree in Strategic Management, Governance, Public Administration, Organizational Leadership, or a related field.
• A minimum of seven (7) years of relevant professional experience in corporate governance, strategic planning, and institutional development.
• Demonstrated experience working with civil society organizations (CSOs), NGOs, and public sector stakeholders, particularly in capacity development.
• Prior successful facilitation of board and management training on governance.
Skills and Competencies.
• Independent, result-oriented and highly organized.
• Demonstrated expertise in facilitating board and management engagement.
• Excellent interpersonal skills with experience in strategic leadership or related assignments.
• Evidence of having undertaken similar assignments.
• Strong analytical and communication skills

a) Technical Proposal
• Consultant’s qualifications and relevant experience.
• Demonstration of understanding of the assignment and its context.
• Proposed methodology and approach to deliver the assignment effectively.
• Examples of similar assignments completed.
b) Financial Proposal
• Total professional fee in Kenya Shillings (KES).
• Note: Hakijamii will cover venue and meals. The budget should include only professional fees.
