CONSULTANCY CALL: HJ-03-09-26 : END-OF-TENURE BOARD PERFORMANCE AND GOVERNANCE EVALUATION

Purpose and Objectives of the Assignment 

The overall purpose of the consultancy is to independently assess the performance,  effectiveness, institutional contribution and governance legacy of the outgoing Board  and generate forward-looking recommendations to support Board transition and  future organizational governance. 

Specifically, the evaluation will include, but not limited to: 

  • Assess the Board’s overall effectiveness in discharging its strategic, fiduciary,  oversight and governance responsibilities 
  • Examine the Board’s contribution to Hakijamii’s strategic direction,  institutional strengthening, financial sustainability, organizational resilience, reputation and stakeholder confidence over its six-year tenure
  • Assess the effectiveness of the Board’s governance structures and practices,  including Board composition and competencies, committees, meetings,  decision-making, participation and follow-up on resolutions 
  • Review the effectiveness of the Board–management relationship, including the  working relationship between the Board Chair, Board, Executive Director and  Secretariat and the clarity of roles between governance and operational  management; and
  • Identify the Board’s key achievements, challenges, lessons and institutional  legacy and provide key recommendations and transition priorities for the  incoming Board. 

Scope of Work

The consultant will assess the performance of the Board as a collective governance body  over its six-year tenure, with particular focus on the following core areas: 

  • Board Performance and Governance: Assess the Board’s effectiveness in  strategic leadership, fiduciary oversight, risk, accountability and decision making. 
  • Institutional Contribution and Sustainability: Assess the Board’s contribution  to Hakijamii’s strategic objectives, governance systems, financial sustainability,  partnerships, donor confidence and organizational resilience. 
  • Board–Management Relationship and Capacity: Review governance management relations, clarity of roles, Board composition, skills, diversity and  participation. 
  • Achievements, Challenges and Legacy: Document key achievements,  challenges, lessons, good practices and the Board’s lasting institutional  contribution. 
  • Transition and Governance Improvement: Identify priority issues for the  incoming Board and recommend practical measures for knowledge transfer,  induction and governance strengthening 

Methodology

The consultant will propose a participatory and evidence-based methodology which  will include: 

  • Desk review of key governance, strategic and organizational documents;
  • Interviews with Board members, the Board Chair, Executive Director and  selected staff 
  • Targeted stakeholder consultations with relevant former Board members,  partners or donors, where necessary; 
  • Board self-assessment and governance benchmarking against recognized good  practice; and 
  • Triangulation and validation of findings to ensure accuracy, balance and  credibility.

Required Qualifications and Experience

A Master’s degree in Governance, Development Studies, Organizational  Development, Business Administration, or a related field. 

  • At least 10 years of relevant professional experience in governance,  organizational development, institutional strengthening, Board performance  assessment, or related fields. 
  • Demonstrated experience in conducting Board evaluations, preferably for NGOs,  CSOs, foundations, or other non-profit organizations. 
  • Proven experience in reviewing and strengthening governance frameworks,  including Board Charters, policies, committee structures, terms of reference, and  governance systems. 
  • Demonstrated experience in Board transition and institutional strengthening, including Board induction, succession, knowledge transfer, or governance  improvement planning. 
  • Excellent facilitation, communication, and report-writing skills, with  demonstrated ability to engage Board members, senior management, and other  stakeholders and translate findings into practical recommendations.
